360Works MirrorSync Product License Agreement
License Grant: The package contains software (”MirrorSync”) and related explanatory written materials ("Documentation"). "MirrorSync" includes any upgrades, modified versions, updates, additions and copies of MirrorSync. "You" means the person or company who is being licensed to use the MirrorSync or Documentation. "We" and "us" means Prometheus Systems Consulting, LLC, d/b/a 360Works. By installing MirrorSync, you are consenting to be bound by and are becoming to a party to this agreement. If you do not agree to all of the terms of this agreement, uninstall MirrorSync and destroy all copies of it and any related files and/or documentation. Basic User License This license allows unlimited use by a SINGLE company / school / organization on a SINGLE computer running the MirrorSync server application, as long as the organization will be using the product for up to 1 devices and 1 configuration. You MAY NOT use this license for more than 1 devices or 1 configuration unless you have purchased them separately. A 'device' is an iPad, iPhone, or computer running Mac OS X or Windows.
Title: We remain the owner of all rights, title and interest in MirrorSync and Documentation. Archival and Backup Copies: You may make copies of MirrorSync or transfer MirrorSync to any storage media, provided that the copy is made solely for backup or archival purposes. Restrictions: The Software and Documentation are protected by United States copyright laws and international treaties. You must treat the Software and Documentation like any other copyrighted material. Redistribution of MirrorSync is restricted without the explicit permission of 360Works. You may not copy MirrorSync or Documentation (except for backup or archival purposes mentioned above), modify, adapt, reverse engineer, disassemble, decompile, or make any attempt to discover the source code of MirrorSync. You also may not sublicense, lease, rent, lend, or make publicly available any portion of MirrorSync or Documentation. This includes placing MirrorSync or Documentation onto a server making it accessible via a public network such as the Internet.
Transfers: MirrorSync is non-transferable. You may not transfer any of your rights to use MirrorSync or Documentation to another person or legal entity. License keys are keyed to the Registered To name provided by the license holder upon purchase and may not be changed or transferred at any future time. Limited Warranty: We warrant that for a period of 30 days after delivery of this copy of MirrorSync to you MirrorSync will perform in substantial accordance with the Documentation. To the extent permitted by applicable law, THE FOREGOING LIMITED WARRANTY IS IN LIEU OF ALL OTHER WARRANTIES OR CONDITIONS, EXPRESS OR IMPLIED, AND WE DISCLAIM ANY AND ALL IMPLIED WARRANTIES OR CONDITIONS, INCLUDING ANY IMPLIED WARRANTY OF TITLE, NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, regardless of whether we know or had reason to know of your particular needs. No employee, agent, dealer or distributor of ours is authorized to modify this limited warranty, nor to make any additional warranties. Liability: IN NO EVENT WILL WE BE LIABLE TO YOU FOR ANY DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS, OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OF OR THE INABILITY TO USE THE SOFTWARE (EVEN IF WE OR AN AUTHORIZED DEALER OR DISTRIBUTOR HAS BEEN ADVISED OF THE POSSIBILITY OF THESE DAMAGES), OR FOR ANY CLAIM BY ANY OTHER PARTY.
